State statutes govern the creation and dissolution of corporations, as well as other aspects of corporations. Due to its favorable laws, Delaware is a popular state of incorporation. Statutes and treatises pertaining to Delaware are included in this guide. Federal statutes come into play also, for example, the Sarbanes-Oxley Act, intended to restore public confidence in corporate governance.
